Terms of use

One set of terms for the website, the desktop app, and Live trading.

These terms cover the public website, the local desktop application, connected services, and the real-money warning shown before Live trading begins.

Scope and acceptance

These Terms of Use govern your access to and use of gimmer.com, the Gimmer desktop application, its documentation, marketplace features, and related services. By using them, you agree to these terms. If you do not agree, do not use Gimmer.

You must be legally able to accept these terms and use automated trading where you live. If you act for an organization or control an account for someone else, you confirm that you have authority to do so.

Live mode has an additional explicit acceptance step. The Live Trading Terms in section 3 are the same material terms shown before an eligible real-money start. A new start or a new terms version may require another acceptance.

Software and third-party services

Gimmer is a local-first software tool. It runs on your computer and can connect to exchanges, wallets, blockchains, market-data providers, IPFS, and other services selected by you. Gimmer does not control the availability, rules, custody, security, or behavior of those third parties.

You are responsible for installing compatible releases, reviewing settings, keeping the device available, and reconciling orders, balances, and positions with the connected venue. Documentation, examples, defaults, simulations, and interface guidance do not replace your own review.

Gimmer may change, add, suspend, or remove product features when needed for security, compatibility, maintenance, or product evolution. Where practical, material changes are communicated through releases, documentation, or the application.

Required before Live mode

  1. 1. Real-money automated execution

    Live mode can place, modify, cancel, and close real orders through the exchange or account connection you select. These actions may occur automatically and without another confirmation. You alone choose the strategy, settings, account, assets, allocation, leverage, and time to start or stop.

  2. 2. Market and loss risk

    Trading digital assets and other markets is highly risky. Volatility, price gaps, low liquidity, slippage, fees, funding, spreads, liquidation, and rapidly changing conditions can produce unexpected results. You may lose some or all funds used by the strategy. With leverage, margin, derivatives, or venue-specific rules, losses may exceed the amount you intended to allocate.

  3. 3. Local computer and operational risk

    Gimmer runs on your computer and does not provide hosted continuity. Sleep, shutdown, power or internet loss, hardware or storage failure, an incorrect system clock, operating-system changes, low resources, firewall or antivirus rules, application crashes, updates, or other local conditions can delay, miss, repeat, or interrupt actions and can leave orders or positions open. You are responsible for keeping the device available, secure, compatible, monitored, and correctly configured.

  4. 4. Exchange, network, and third-party risk

    Gimmer depends on services outside its control, including exchanges, brokers, wallets, blockchains, protocols, nodes, market-data providers, and internet infrastructure. Outages, maintenance, API changes, rate limits, rejected or partial fills, stale responses, custody failures, cyberattacks, congestion, reorganization, smart-contract defects, token or bridge failures, and third-party errors can prevent or alter execution and cause loss.

  5. 5. Strategy, software, and data risk

    Backtests, simulations, historical results, indicators, optimizations, and AI-generated analysis are hypothetical and do not predict live performance. A strategy can behave differently with real liquidity, latency, fees, and data. Software defects, incompatible settings, inaccurate, delayed, missing, or corrupted data, recovery logic, or user error can generate unintended orders or results.

  6. 6. Security and account responsibility

    You are solely responsible for your device, wallet, exchange account, credentials, API keys, private keys, permissions, backups, and recovery procedures. Use least-privilege API access, disable withdrawals where possible, protect secrets, review connected applications, and revoke access immediately if compromise is suspected. Anyone with access to your device or credentials may be able to trade or steal assets.

  7. 7. No advice, fiduciary duty, or guarantee

    Gimmer is a software tool, not financial, investment, legal, accounting, or tax advice, and it does not act as your broker, custodian, adviser, or fiduciary. No strategy or technology can guarantee a profit or prevent a loss. Gimmer is provided “as is” and “as available.” To the fullest extent permitted by law, no express or implied warranty or guarantee is made about profitability, accuracy, suitability, compatibility, security, uninterrupted availability, order execution, loss prevention, or recovery.

  8. 8. Your monitoring duty and limitation of liability

    You must independently monitor the exchange, balances, orders, and positions and maintain a tested emergency plan for stopping strategies and managing exposure. Use only funds you can afford to lose. To the fullest extent permitted by applicable law, Gimmer and its contributors are not responsible for trading losses, liquidation, lost assets, data, profits, opportunities, or indirect, incidental, special, or consequential damage arising from the software, your local system, a strategy, a third party, or your inability to use the application. Rights and liabilities that applicable law does not allow to be excluded remain unaffected.

  9. 9. Authority and acceptance

    You confirm that you are legally eligible to trade, are authorized to control the connected account and funds, and may use automated trading in your jurisdiction and under the venue’s rules. Acceptance applies to this live start attempt and to the terms version shown below; a future start or updated version may require a new acceptance.

Required acknowledgement

I have read and accept these Live Trading Terms. I understand that live trading can lose all allocated funds, may create losses beyond that amount where applicable, and that Gimmer cannot guarantee execution, availability, performance, loss prevention, or recovery.

Data, credentials, and security

You are responsible for protecting your Gimmer data directory, wallet material, passwords, exchange credentials, backups, and the computer where Gimmer runs. Never share a seed phrase or private key with Gimmer Support. Use trading-only API permissions and disable withdrawals where the venue supports it.

Local data can be damaged or lost through hardware failure, storage pressure, operating-system changes, malware, accidental deletion, or application defects. Maintain current, tested backups before updating software or making material configuration changes.

If you believe a device, wallet, or exchange credential is compromised, stop affected strategies where safe, verify orders and positions directly at the venue, revoke exposed access, and follow the provider’s recovery process.

GMR, hold requirements, and marketplace activity

Some Gimmer features may require you to hold a stated amount of GMR while a strategy runs. Holding is not a promise that the requirement will remain unchanged, and it does not guarantee product access, strategy performance, order execution, token value, liquidity, or investment returns.

GMR has market, liquidity, smart-contract, token, and network risk. Blockchain and marketplace actions may be irreversible and may depend on signed IPFS records, wallets, smart contracts, networks, or liquidity providers outside Gimmer’s control.

Marketplace prices, rental periods, strategy availability, and access requirements shown at the time of an action apply to that action. Review the displayed terms and transaction details before signing or submitting anything.

Acceptable use and content

Do not use Gimmer to break the law, violate another party’s rights, access an account without authority, distribute malware, attack or overload services, bypass security or access controls, manipulate markets, or misrepresent strategy evidence.

You remain responsible for strategies, code, descriptions, media, profile information, and other content you create or publish. Only publish material you have the right to use. Gimmer may restrict or remove content or access when reasonably necessary to address security, abuse, legal obligations, or material violations of these terms.

Changes, support, and ending use

These terms may be updated as the product, law, risks, or connected services change. The current public page and the version shown in the application govern new use and new Live starts. Continuing to use Gimmer after an update means accepting the revised terms where permitted by law.

Support is provided on a reasonable-effort basis and does not guarantee a response time, resolution, recovery, compatibility, or reimbursement. Preserve the exact error, time, strategy version, order state, and venue evidence before requesting help.

You may stop using Gimmer at any time. Before uninstalling or disconnecting an exchange, confirm orders, balances, and positions directly at the venue and preserve any local data you need.

General disclaimers and limitations

Gimmer, the website, documentation, releases, and related services are provided “as is” and “as available.” To the fullest extent permitted by applicable law, Gimmer disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, security, compatibility, and uninterrupted availability.

To the fullest extent permitted by applicable law, Gimmer and its contributors are not liable for direct or indirect trading losses, liquidation, lost assets, lost data, lost profits, lost opportunities, service interruption, or incidental, special, exemplary, or consequential damage connected with use of or inability to use Gimmer. Rights and liabilities that applicable law does not allow to be waived remain unaffected.

If one part of these terms is unenforceable, the remaining parts continue to apply. A failure to enforce a provision once does not waive the right to enforce it later.
